1. Is issuing advisory shares for non-cash consideration the same as granting shares to employees?
Its only employees who are subject to tax on the actual share issue, freelance consultants (advisors etc) can receive shares with no immediate tax hit (only if they are sold for a capital gain will tax be liable). This post gives more info in relation to the difference between share options for employees and freelancers (which would be preferable to give rather than shares themsleves): https://www.jonathanlea.net/2013/issuing-share-options-to-employees-and-consultants/
